1. Acceptance of Terms

Welcome to InstaCourts. By accessing or using our platform at insta-courts.com and its subdomains ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Platform.

These Terms constitute a legally binding agreement between you and InstaCourts ("we," "us," or "our").

2. Description of Service

InstaCourts is an online platform that connects pickleball players with court owners in the Philippines. Our Platform allows users to:

• Browse and search for available pickleball courts
• Book court time slots online
• Make secure payments via GCash and InstaPay
• Receive booking confirmations and reminders
• (For court owners) List and manage courts, receive bookings, and collect payments

3. User Accounts

3.1 Account Creation

To use certain features of our Platform, you must create an account by signing in with Google. You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

3.3 Account Eligibility

You must be at least 18 years old to create an account and use our Platform. By creating an account, you represent that you meet this age requirement.

4. Booking and Payment Terms

4.1 Booking Process

When you book a court through our Platform, you enter into a contract directly with the court owner. InstaCourts acts as an intermediary to facilitate the booking and payment process.

4.2 Payment

• All payments are processed securely through PayMongo
• Payment is due at the time of booking
• We accept GCash and InstaPay payment methods
• Prices are displayed in Philippine Pesos (PHP) and include all applicable taxes
• A platform commission fee of 6.5% is deducted from each booking payment before disbursing to court owners

4.3 Booking Confirmation

Once payment is successfully processed, you will receive a booking confirmation via email. This confirmation serves as proof of your reservation.

4.4 Cancellations and Refunds

All bookings are final. In the unlikely event that a booking cannot be honored due to circumstances beyond the court owner's control, the court owner will contact you directly to arrange a refund or reschedule. If the court owner cancels your booking or fails to make the court available as scheduled, you may request a refund by emailing refunds@insta-courts.com with your booking reference and supporting details. Upon verification, InstaCourts will issue you a full refund.

4.5 Failed Payments

If payment fails or expires, your booking will not be confirmed and the time slot may become available to other users.

5. Court Owner Terms

5.1 Registration

Court owners must be pre-registered by InstaCourts administrators. To register your court, please contact our admin team.

5.2 Court Listings

Court owners are responsible for providing accurate information about their courts, including:

• Court description and amenities
• Accurate location and address
• Current and accurate pricing
• Available time slots and schedules
• High-quality photos that accurately represent the court

5.3 Court Availability

Court owners must keep their court availability up to date and honor all confirmed bookings made through the Platform.

5.4 Payment to Court Owners

• Court owners receive 93.5% of the booking amount (6.5% platform commission)
• Payments are disbursed to the bank account registered with InstaCourts
• Payment schedules and processing times will be communicated separately
• Court owners are responsible for any applicable taxes on their earnings

5.5 Court Owner Responsibilities

Court owners agree to:

• Maintain their courts in safe, playable condition
• Provide the services as described in their listing
• Comply with all applicable laws and regulations
• Handle customer service issues professionally
• Not discriminate against players based on protected characteristics

6. User Conduct

You agree NOT to:

• Use the Platform for any illegal purpose or in violation of any laws
• Impersonate any person or entity or misrepresent your affiliation
• Upload or transmit viruses, malware, or malicious code
• Attempt to gain unauthorized access to our systems or user accounts
• Scrape, data mine, or collect user information without permission
• Interfere with the proper operation of the Platform
• Post false, misleading, or fraudulent content
• Harass, abuse, or harm other users or court owners
• Circumvent payment systems or platform fees

7. Intellectual Property

All content on the Platform, including text, graphics, logos, images, software, and design, is the property of InstaCourts or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Platform without our express written permission.

Court owners retain ownership of the photos and content they upload but grant InstaCourts a worldwide, non-exclusive license to use, display, and promote such content on the Platform.

8. Disclaimers and Limitations of Liability

8.1 Platform "AS IS"

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 No Guarantee

We do not guarantee that:

• The Platform will be uninterrupted, secure, or error-free
• Court listings are accurate, complete, or current
• Courts will be available as listed
• Bookings will be honored by court owners

8.3 Third-Party Services

We are not responsible for the actions, content, or services of third parties, including court owners, payment processors (PayMongo), or authentication providers (Google).

8.4 Limitation of Liability

To the maximum extent permitted by law, InstaCourts shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Platform
• Any unauthorized access to or use of our servers and/or any personal information
• Any interruption or cessation of transmission to or from the Platform
• Any bugs, viruses, or malware transmitted through the Platform
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content
• Disputes between users and court owners

9. Indemnification

You agree to indemnify, defend, and hold harmless InstaCourts and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Any content you submit or transmit through the Platform

10. Termination

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including if we believe you have violated these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform will immediately cease.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

11.2 Venue

Any disputes arising out of or relating to these Terms or the Platform shall be resolved exclusively in the courts of the Philippines.

11.3 Informal Resolution

Before filing any legal action, we encourage you to contact us to seek an informal resolution.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last updated" date.

Your continued use of the Platform after changes are posted constitutes your acceptance of the modified Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and InstaCourts regarding the use of the Platform and supersede any prior agreements.
